Will Brandt advises business owners and organizations across the lifecycle of their most consequential decisions, from formation and growth through restructuring, acquisition, and exit.

His transactional practice centers on mergers and acquisitions, corporate reorganizations, and general business transactions where he serves as counsel on both buy-side and sell-side transactions.

Will also serves as a member of the Harris Shelton tax controversy division, representing taxpayers before the IRS in audits, appeals, and collection matters. His dual fluency in tax planning and tax dispute resolution gives clients a distinct advantage because their advisory counsel understands how positions will hold up under examination.

Beyond transactions and controversy, Will counsels clients on executive compensation structure and compliance, asset protection planning, nonprofit formation and governance, and general corporate structuring. Will also serves as general outside counsel to small and mid-sized businesses. He holds an LL.M. in Taxation from Georgetown University Law Center.
